Obiettivi formativi



Il Modulo di Diritto commerciale intende offrire un approccio ragionato alle nozioni fondamentali del diritto commerciale: partendo da un esame delle fonti e delle principali tappe evolutive della materia, si toccheranno i principali aspetti di disciplina. Nel dettaglio l'obiettivo dell'insegnamento è di esaminare, dal punto di vista civilistico, la disciplina delle imprese, anche in forma societaria, per offrire allo studente un panorama aggiornato della normativa.




The Commercial Law Module aims to offer a reasoned approach to the fundamentals of commercial law: starting from an examination of the sources and the main evolutionary stages of the subject, the main aspects of discipline will be touched upon. In detail, the aim of the teaching is to examine from the civil law point of view the regulation of companies, including those in corporate form, in order to provide the student with an up-to-date overview of the regulations.

Risultati dell'apprendimento attesi



1) Conoscenza e capacità di comprensione.

Il docente auspica che al termine dell'insegnamento vengano acquisite conoscenze e capacità di comprensione dei principali istituti del diritto commerciale, con particolare riferimento alle forme di impresa, ai requisiti di esercizio dell'attività, alle regole di governance e alla struttura finanziaria delle società.

2) Capacità di applicare conoscenza e comprensione.

Il docente si attende che al termine dell'insegnamento risulti acquisita la capacità di applicare correttamente a casi concreti semplici la disciplina positiva dei principali istituti del diritto commerciale. Per esempio, individuare le regole applicabili ad un impresa di piccole dimensioni; distinguere una delibera valida da una che non lo è; percorrere correttamente il procedimento per un aumento di capitale o altra operazione straordinaria.

3) Autonomia di giudizio.

Il docente si attende che al termine dell'insegnamento risulti acquisita la capacità di valutare criticamente le soluzioni date alle problematiche commerciali dai vari operatori del settore (professionisti, giurisprudenza).

4) Abilità comunicative.

Il docente si attende che la comunità studentesca al termine dell'nsegnamento risulti capace di discutere con adeguato vocabolario e chiarezza problemi e prospettare soluzioni relativamente a casi di studio elementari.

5) Capacità di apprendimento.

Il docente si attende che al termine dell'insegnamento risultino acquisiti i fondamenti metodologici per l'applicazione dei principali istituti del diritto commerciale.









1) Knowledge and understanding

The teacher hopes that the students gain knowledge and understanding on the current rules of commercial law, with particular attention to models and prerequisites for being enterprenurs, rules of governance, in order to offer an updated description of the system.

 2) Applying knowledge and understanding

The teacher hopes that the students are able to properly apply the institutions of commercial law to simple cases. E.g., rules for small business; AGM decisions; capital increase.

3) Making judgements

The teacher hopes that the students gain critical skills in evaluating the answer provided to the main commercial law issues by the professionals, including case law

4) Communication skills

The teacher hopes that the students are able to discuss the issues and to propose solutions

5) Learning skills

The teacher hopes that the students gain the methodological basis about the legal research on ommercial law matters and are able examine in depth the subjects discussed during the course

Il programma si articola in due parti.

La prima parte è incentrata sulla figura dell'imprenditore e comprende i seguenti temi:

  • Nozioni e categorie di imprese.
  • La disciplina delle imprese commerciali (pubblicità, scritture contabili, rappresentanza, etc.).
  • La disciplina generale delle imprese (azienda)

La seconda parte è dedicata all'esercizio dell'impresa in forma societaria e riguarda:

  • La nozione di società e i tipi di società.
  • Le società di persone (società semplice, società in nome collettivo e società in accomandita semplice).
  • Le società di capitali (società per azioni, società in accomandita per azioni, s.r.l.).
  • Trasformazioni, fusioni, scissioni e scioglimento di società.
  • Gruppi.




The programme is divided into two parts.

The first part focuses on the figure of the entrepreneur and includes the following topics:

  • Concepts and categories of enterprises.
  • The discipline of commercial enterprises (advertising, accounting records, representation, etc.).
  • The general discipline of enterprises (company)

The second part is devoted to the exercise of enterprise in corporate form and covers:

  • The notion of companies and types of companies.
  • Partnerships (società di persone, società in nome collettivo and società in accomandita semplice).
  • Capital companies (società per azioni, società in accomandita per azioni, s.r.l.).
  • Transformations, mergers, demergers and dissolution of companies.
  • Groups.

Modalità di insegnamento



L'insegnamento prevede 6 CFU (48 crediti formativi) di lezioni frontali in presenza.

L'insegnamento prevede altresì lo svolgimento di alcune attività di didattica integrativa con videopillole o su webex con il tutor.

La frequenza delle lezioni e delle attività integrative non è obbligatoria, ma fortemente consigliata.

Teaching is delivered in a traditional way (face to face), with lectures.

The program also includes some supplementary teaching activities with video or on webex with the tutor.

Modalità di verifica dell'apprendimento

Modalità d'esame 



L'esame è orale e la valutazione è resa in trentesimi.

L'esame è finalizzato a verificare che siano state apprese le nozioni base della materia, nonché la capacità di orientarsi fra le norme. Non è richiesto uno studio mnemonico delle regole, bensì una conoscenza dei diversi istituti esaminati e capacità di ragionamento.

Ogni esame prevede circa due domande sugli argomenti di studio ed è richiesto che lo studente consegua valutazione positiva su entrambe le domande.

L'esame ha una durata variabile dai 10 ai 20 minuti, in considerazione della completezza della risposta, della proprietà di linguaggio impiegata, dalla maturità con cui la prova viene affrontata.

Regole di ammissione all'esame

Si e' ammessi a sostenere l'esame solamente se regolarmente iscritti all'appello tramite ESSE3 e a condizione che risultino rispettate le propedeuticita' fissate dal regolamento; non e' in alcun modo possibile sostenere l'esame in una data e "conservare" il voto per la registrazione in una data futura.

Limiti al numero di appelli per anno accademico

In base al Regolamento didattico vigente, è possibile sostenere l'esame per un massimo di tre volte per anno accademico su 6 appelli disponibili (dicembre, gennaio, febbraio, giugno, luglio, settembre). Nel conteggio delle tre volte si computano anche gli appelli ai quali lo studente iscritto non si presenti, risultando assente.

Per la cancellazione all'appello, è possibile farlo su Esse3 entro 4 giorni dall'appello medesimo.

Periodo utile per il sostenimento degli esami (LEGGERE CON MASSIMA CURA)

Il modulo di Diritto commerciale di 6 crediti si svolge nel primo semestre ed è integrato con un modulo di Diritto tributario di 3 crediti che si svolge invece nel secondo semestre. Tanto considerato, ai fini della registrazione del voto complessivo, dato dalla media ponderata dei voti relativi ai singoli moduli, è necessario conseguire i voti di entrambi i moduli nel medesimo anno accademico e precisamente:

- per il modulo di Diritto commerciale: dicembre 2023, gennaio 2024, febbraio 2024, giugno 2024, luglio 2024 oppure settembre 2024 (ultimo appello utile per il modulo di Diritto commerciale 2023/24)

- per il modulo di Diritto tributario: maggio 2024, giugno 2024, luglio 2024, settembre 2024, gennaio 2025, febbraio 2025 (ultimo appello utile per il modulo di Diritto tributario 2023/24).

A studentesse e studenti che conseguano i voti dei due moduli negli appelli sopra indicati, verrà quindi attribuito un voto unico risultante dalla media ponderata dei due voti relativi ai singoli moduli, con arrotondamento, nel caso in cui sia presente una frazione di punto, all'unità superiore.

Qualora non si conseguano i voti di ENTRAMBI i moduli in uno degli appelli indicati, il voto dell'unico modulo conseguito decade e l’esame deve essere nuovamente sostenuto.




Oral examination. Evaluation over 30 points. The examination will verify the knowledge of main principles of Commercial law. Each exam involves about two / three questions on study topics. 

The examination lasts between 10 and 20 minutes, depending on the completeness of the answer, the property of language used, and the maturity with which the test is approached.

Students must be registered to the examination on Esse3 platform and must have passed exams as provided in Departmement rules. The evalutation of the examination must be recorded immediately.


The exam is aimed at verifying that the basic notions of the subject have been learned, as well as the ability to navigate among the rules. A study is not required mnemonic of the rules, but a knowledge of the different institutes examined and reasoning skills.

Each exam includes about two questions on the topics of study and the student is required to obtain a positive evaluation on both questions.

 

Rules for admission to the exam

Students are admitted to the exam only if they are duly registered for the session through ESSE3 and on condition that the prerequisites established by the regulation are met; there is no way to take the exam on a date and "hold" the grade for registration at a future date. Limits on the number of appeals per academic year Based on the current teaching regulations, it is possible to take the exam a maximum of three times per academic year. In the count of the three times (of six: December, January, February, June, July and September), the exam sessions for which the enrolled student does not appear, resulting in absence, are also counted. For the cancellation of the appeal, it is possible to do so on Esse3 within 4 days of the appeal itself.

Useful period for sitting the exams (READ WITH MAXIMUM CARE)

The commercial law module of 6 credits takes place in the first semester and is integrated with a tax law module of 3 credits which takes place in the second semester. Given the above, for the purpose of registering the overall mark, given by the weighted average of the marks relating to the individual modules (rounded off, if there is a fraction of a point, to the next whole unit).

It is necessary to obtain the marks of both modules in the same academic year and precisely: - for the Commercial Law module: December 2023, January 2024, February 2024, June 2024, July 2024 or September 2024 (last useful session for the Commercial Law module 2023/24) - for the Tax Law module: May 2024, June 2024, July 2024, September 2024, January 2025, February 2025 (last useful session for the Tax Law module 2023/24). Students who obtain the marks of the two modules in the sessions indicated above will therefore be assigned a single mark resulting from the weighted average of the two marks relating to the single modules, with rounding, if there is a fraction of a point, to the upper unit.

If the marks of BOTH modules are not obtained in the sessions indicated, the mark of the module obtained is lost and the exam must be taken again.

L'insegnamento di Diritto commerciale si svolge nel primo semestre, pertanto i relativi appelli, da dicembre in avanti, appartengono già all'a.a. 2023/2024.

L'insegnamento di Diritto tributario si svolge nel secondo semestre, pertanto gli appelli che appartengono all'a.a. 2023/2024 sono quelli da maggio in avanti, mentre quelli di gennaio e febbraio 2024 sono gli ultimi due appelli dell'a.a. 2022/2023.

Per la media dei voti di Commerciale e Tribuatario occorre che i voti siano stati conseguiti in appelli riferiti al medesimo anno accademico.

Questo vuol dire che l'eventuale voto di Diritto tributario conseguito a gennaio o febbraio 2024 può essere combinato solamente con voti di Diritto commerciale già conseguiti, in quanto i 6 appelli di Diritto commerciale dell'a.a. 2022/2023 si sono già esauriti.

E' prevista una eccezione per i laureandi a marzo 2024, per i quali, il 5 febbraio 2024 si svolgerà un appello straordinario di Diritto commerciale ancora riferito all'a.a. 2022/2023.
